COMPANY PROFILE THE COMPANY QUEENSBERRY VIAGENS E TURISMO LTDA. is a limited Company registered in Sao Paulo, Brazil and was established in 1981 following the emigration of the principal shareholder and Managing Director, Martin Jensen, from England to Brazil in that year. The company is an “up market” international tour operator and works in both the outgoing and incoming markets, handling FITs, groups and incentives, principally at the top end of the market. The company is totally committed to quality services and does not handle programs based on budget or tourist class accommodation. In the cruise market, Queensberry represents Windstar Cruises (with exclusivity in Brazil), Princess Cruises and SeaDream Yacht Club. The Company is registered with Embratur, the Brazilian Ministry of Tourism and is a member of A.B.A.V. (The Brazilian Travel Agents Association), I.A.T.A and a World Affiliate of Euromic. In 2007, the company has a staff of 140 and an annual turnover of US$ 51,000,000.00 . The main office is in São Paulo (118 staff) and there are branch offices in Rio (20) and Salvador (2). THE FINANCIAL STRUCTURE The Company has a paid-up share Capital of R$ 500.000,00 (US$ 225,000.00), is fully solvent and has no indebtedness (short-term or long-term). POSITION IN THE OUTGOING MARKET The Company is a leading tour operator, active in the market since 1981 and is a founder member of BRAZTOA, the Brazilian Tour Operator’s Association, which unites the 55 principal Tour Operators and Wholesalers. The principal activity is the operation of F.I.T. programs, group excursions and incentive programs to all parts of the world with emphasis on Europe, North America, Africa and Asia, and the wholesaling of a wide range of international travel products. After launching a multi-departure group series in 2002, with tours to all five continents specifically created for Brazilians with Brazilian tour-leaders, this product has become the unchallenged market leader in quality group travel and offers a choice of 60 itineraries in 2007. In 2006, there were 150 group departures with a total of 3,900 passengers. In the principal readership survey conducted each year by Brazil’s leading travel magazine to elect the “Best Outgoing Tour Operator”, Queensberry has been a finalist in all six years since the survey was commenced and, in the last five years, has not fallen below second place. The Company has developed an excellent reputation and a strong brand name – generally recognized in Brazil as the leader in quality travel. POSITION IN THE INCOMING MARKET Queensberry Brazil Destination Management Despite its origins in the incoming market, when Queensberry Travel Service (1971), based in London, specialized in handling South Americans on holiday in Europe in the 1970s, the Brazilian company, Queensberry Viagens (1981), has only really turned its attention to the incoming market in Brazil since the devaluation of the real, the Brazilian currency, in 1999. Under the banner “Queensberry Brazil Destination Management” since January 2006, the Company has concentrated its incoming operations in the Rio de Janeiro branch office and strengthened it team contracting highly experienced executives, and is currently enjoying a phase of rapid expansion in this area. A new incoming department in Sao Paulo was opened in December 2006, to work side by side with the existing office in Rio de Janeiro.
